1. Agreement
By using this website or engaging ND Solutions for services, you agree to these terms. Specific service engagements may be governed by an additional written agreement which will prevail in case of conflict.
2. Services
ND Solutions provides IT support, website development, business automation, cloud, and cybersecurity-focused services. Scope, deliverables and pricing for each engagement are agreed in writing.
3. Fees & Payment
Invoices are payable per the terms stated on each invoice or agreement. Late payments may incur interest at the statutory rate.
4. Client Responsibilities
Clients must provide accurate information, timely approvals, and necessary access to systems for ND Solutions to deliver services.
5. Confidentiality
Both parties agree to keep confidential information shared during engagements private and to use it only for the purposes of the engagement.
6. Intellectual Property
Unless otherwise agreed in writing, deliverables become the client's property upon full payment. ND Solutions retains rights to its pre-existing tools, frameworks and methodologies.
7. Warranty & Liability
Services are provided with reasonable skill and care. To the maximum extent permitted by Maltese law, ND Solutions' liability is limited to fees paid for the engagement giving rise to the claim. We are not liable for indirect or consequential losses.
8. Termination
Either party may terminate with written notice as set out in the engagement agreement. Fees for work performed up to termination remain payable.
9. Governing Law
These terms are governed by the laws of Malta. Disputes are subject to the exclusive jurisdiction of the Maltese courts.
